Terms of Service

These Terms of Service ("Terms") are a binding agreement between Arcflux, Inc., a Delaware corporation ("Arcflux," "we," "us," or "our"), and you, governing your access to and use of the Arcflux platform, websites, and related services (together, the "Services"). The Services let you build and run agentic workflows that connect triggers, AI models, tools, and integrations into multi-step automated actions.
By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Services.
1. Definitions
- Account — your registration to use the Services, including any organization and team membership.
- Customer Data — data you or your users submit to, connect to, or process through the Services, including the content of workflow runs, knowledge base material, and the payloads of connected integrations and real-time channels.
- Workflow — an automation you configure in the Services, including its triggers, model steps, tools, integrations, and approval gates.
- Output — content generated by AI model steps within your Workflows.
- Documentation — the usage guides and materials we make available for the Services.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services, which are intended for business use. You agree to provide accurate registration information and to keep it current.
You are responsible for safeguarding your account credentials and for all activity that occurs under your Account, including the activity of users you invite. Notify us promptly at info@arcflux.ai of any unauthorized use. You are responsible for your users' compliance with these Terms.
3. The Services and license
Subject to these Terms and your payment of applicable fees, Arcflux grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term for your internal business purposes.
We may update, improve, or change the Services over time. We may also release features identified as beta, preview, or experimental, which are provided "as is," may be changed or withdrawn, and are excluded from any service commitments.
4. Subscriptions, fees, and billing
Plans and fees. The Services are offered under different plans, including a free tier and paid subscriptions, as described on our pricing page. Fees, usage allowances, and any credit-based consumption for your plan are those in effect when you subscribe or as updated under these Terms.
Payment. Paid plans are billed through our third-party payment processor. You authorize us and our processor to charge your payment method for all fees due. You are responsible for providing valid, current payment information.
Auto-renewal. Unless you cancel before the end of the then-current term, paid subscriptions automatically renew for successive terms at the then-current rates, and you authorize us to charge the applicable fees on each renewal. You can cancel renewal through your account settings or by contacting us.
Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, other than taxes based on our net income.
Changes to fees. We may change our fees and will give you reasonable advance notice. Changes take effect at the start of your next renewal term.
Late or failed payment. We may suspend the Services if fees are overdue. Free-tier access may be subject to usage limits and may be changed or discontinued.
Refunds. Except where required by law or expressly stated, fees are non-refundable and there are no refunds or credits for partial periods or unused allowances.
5. Customer Data and privacy
As between you and Arcflux, you retain all rights in your Customer Data. You grant Arcflux a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and support the Services, and as otherwise permitted under the Data Processing Agreement.
You are responsible for your Customer Data, including its accuracy, legality, and your right to submit it and to connect the systems and accounts your Workflows use. You represent that you have all necessary rights, permissions, and consents for the data you process and the actions your Workflows take.
Our handling of personal information is described in our Privacy Policy, and our processing of Customer Data on your behalf is governed by the Data Processing Agreement.
6. AI outputs and autonomous actions
The Services use third-party AI model providers to generate Outputs and to power agentic steps. This section governs your use of those capabilities.
- No warranty on Outputs. Outputs may be inaccurate, incomplete, or misleading, and may not reflect current information. You are responsible for evaluating Outputs and must not rely on them as a sole basis for decisions, particularly decisions with legal, financial, medical, safety, or similarly significant consequences.
- Autonomous actions are your responsibility. Your Workflows can take actions automatically — sending messages, writing to connected systems, calling external tools and APIs, and otherwise acting on your behalf — based on how you configure them. You are solely responsible for configuring appropriate guardrails, approval gates, and human review, and for all actions your Workflows take and their consequences. Arcflux is not responsible for actions taken by Workflows you configure.
- Model provider terms. Outputs are produced through third-party model providers, and your use of model steps is subject to those providers' applicable terms and acceptable use policies. You agree to comply with them.
- Output ownership. As between you and Arcflux, and to the extent permitted by law and by the applicable model provider terms, you may use Outputs generated through your Workflows. You acknowledge that Outputs may not be unique, that similar Outputs may be generated for others, and that Outputs may not be eligible for intellectual property protection.
7. Acceptable use
You agree not to, and not to permit any user or Workflow to:
- use the Services in violation of any law or regulation, or to infringe or misappropriate any third party's rights;
- upload or generate malware, or use the Services to probe, scan, attack, disrupt, or gain unauthorized access to any system, network, or data;
- send spam or unsolicited messages, or use the Services to harass, defraud, or harm others;
- circumvent or exceed usage limits, rate limits, credits, or access controls, or resell or provide the Services to third parties except as expressly permitted;
- reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent this restriction is prohibited by law;
- connect systems, accounts, or data you are not authorized to access, or configure Workflows to take actions you are not authorized to take;
- use the Services in high-risk environments where failure could lead to death, personal injury, or severe physical or environmental damage; or
- use the Services to develop a competing product, or to benchmark or publish performance results without our prior written consent.
We may investigate suspected violations and may suspend or terminate access for conduct that violates this section or creates risk or legal exposure for us or others.
8. Third-party services and integrations
The Services let you connect third-party services, integrations, MCP servers, and model providers. Those third parties are not controlled by Arcflux, and your use of them is governed by their own terms and privacy policies. When your Workflow sends data to, or takes action on, a third-party service, you authorize that data flow and action, and you are responsible for your use of and rights to that service. Arcflux is not responsible for third-party services or for their availability, security, or practices.
9. Intellectual property
Arcflux and its licensors own all right, title, and interest in and to the Services, including all software, models we provide, designs, and Documentation, and all related intellectual property. Except for the limited rights expressly granted to you, no rights are granted by implication or otherwise.
If you provide suggestions or feedback about the Services, you grant Arcflux a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
"Arcflux" and our logos are our trademarks. You may not use them without our prior written permission.
10. Confidentiality
Each party may receive nonpublic information of the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms, will protect it with reasonable care, and will not disclose it except to personnel and contractors who need it and are bound by similar obligations. This section does not apply to information that is public, independently developed, or rightfully received from a third party.
11. Term, suspension, and termination
These Terms apply while you use the Services and for any subscription term. You may stop using the Services and cancel your subscription at any time as described in Section 4.
We may suspend or terminate your access, in whole or in part, if you materially breach these Terms (including the Acceptable Use section), fail to pay fees, or create a security, legal, or operational risk. We will use reasonable efforts to notify you where practicable.
On termination, your right to use the Services ends. Export and deletion of Customer Data following termination are handled as described in the Data Processing Agreement. Sections that by their nature should survive termination will survive.
12. Disclaimers
EXCEPT AS EXPRESSLY STATED, THE SERVICES, INCLUDING ALL OUTPUTS AND BETA FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO ARCFLUX FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
14. Indemnification
You will defend, indemnify, and hold harmless Arcflux and its affiliates, officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your Customer Data; your use of the Services; the actions taken by your Workflows; your violation of these Terms, the Acceptable Use section, or applicable law; or your infringement or misappropriation of any third party's rights.
15. Changes to these Terms
We may update these Terms from time to time. For material changes, we will update the "Last updated" date and provide reasonable notice, such as by email or through the Services. Changes are effective when posted unless stated otherwise, and your continued use of the Services after they take effect means you accept the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of [GOVERNING LAW — e.g., the State of Delaware or the State of California; confirm with counsel], without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute informally by contacting each other. 17. General
These Terms, together with the Privacy Policy and the Data Processing Agreement, are the entire agreement between you and Arcflux regarding the Services and supersede prior agreements on the subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control. The parties are independent contractors. You agree to comply with applicable export-control and sanctions laws.
